BİLGİSAYAR PROGRAMLARINA İLİŞKİNLİSANS SÖZLEŞMELERİNDEKİ GİZLİLİK HÜKÜMLERİHAKKINDA DEĞERLENDİRMELER

Abstract

Bilgisayar programlarına ilişkin lisans sözleşmeleri, gelişen teknoloji ile birlikte gün geçtikçe giderek artmakta ve yaygınlaşmaktadır. Bu sözleşmelerde hüküm altına alınan birçok husus bulunmaktadır. Bu çalışmada, bunlardan sadece gizlilik hükümleri üzerinde incelemeler yapılmıştır. Gizlilik hükümleri ise, söz konusu lisans sözleşmeleri açısından çok büyük öneme sahiptir. Zira niteliği gereği bilgisayar programları üzerinden gerek programa ve oluşturulmasına gerekse onu meydana getiren hakkında bazı bilgilere erişmek mümkün olabilmektedir. Bu kapsamda, çalışmada öncelikle bilgisayar programlarının fikri ve sınai haklar kategorisindeki yeri ele alınmıştır. Akabinde bunların kullanım hakkının devrini konu edinen lisans sözleşmelerine kısaca yer verilmiştir. Daha sonra bu sözleşmelerdeki özellikle fikri ve sınai haklar bakımından büyük önem arz eden gizlilik hükümleri incelenmiştir. Burada, öncelikle gizli bilgi niteliğini haiz olan ve gizli bilgi niteliği taşımayan bilgiler açıklanmıştır. Daha sonra gizli bilgilerin korunması noktasında taraflara düşen yükümlülüklerden söz edilmiştir. Nihayet çalışma sırasında edinilen kanaatlere “Sonuç” kısmında yer verilmiştir.

Licensing agreements for computer programs are increasing andbecoming common and increasing day by day with developing technology. Manyissues may be subject to the provisions regarding licensing agreements.However, in this study, only the confidentiality clauses were examined.Confidentiality provisions are of great importance for these license agreements.Because, due to its nature, it is possible to access some information about theprogram and its creation as well as the information that creates it. In the study,firstly, the place of computer programs in the categories of intellectual andindustrial rights is considered. Afterwards, the licensing agreements that dealwith the transfer of their right to use are briefly mentioned. Later on, theprovisions of confidentiality, which are of great importance in terms ofintellectual and industrial rights, have been examined in these contracts. In thiscontext, firstly the information which has the nature of confidential informationand which does not carry the nature of confidential information is explained.Later, the obligations of the parties have been mentioned at the point ofprotecting the confidential information. Finally, our opinions obtained duringthe study were included in the "Conclusion" section.
